| Acquisition of Precis Communications Closes |

A consortium of local exchange carriers led by Emery Telcom completed the acquisition of Precis Communications. The transaction will provide Emery Telcom and the other consortium members with a significant broadband customer base in Utah and parts of Nevada.
Waller Capital served as financial advisor to Precis Communications.
